Top Talent Service Agreement

1. Finders Fee - "Top Talent" Service

By utilizing the "Top Talent" service provided by Honest Jobs, Inc. ("Honest Jobs"), the posting company ("Client") agrees to pay a finders fee of 3.5% of the expected first-year pay of any candidate successfully hired by Client through the Honest Jobs fair-chance job board ("Job Board"). This "Top Talent" service applies only to jobs where the Client has selected the "Top Talent" option when posting the job.

 

2. Payment of Finders Fee

The finder's fee is due and payable within sixty (60) days from the hired candidate's first day of employment ("Payment Due Date"). Invoices related to the "Top Talent" service will be sent via QuickBooks. Payment must be made within a net 60 payment term.

 

3. Payment Conditions

The finder's fee shall only be payable if the candidate hired through the Job Board, under the "Top Talent" service, completes at least two full work shifts.

 

4. Confidentiality

Both parties agree to maintain the confidentiality of any information exchanged under this Agreement.

 

5. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

 

6. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether oral or written.
